Itemra — Partner Billing Terms

These Partner Billing Terms supplement the Itemra Terms of Service only when Itemra and an approved accountant, bookkeeper, or IT consultant (the "Partner") enter a written Partner Schedule that incorporates them. If there is no signed or otherwise expressly accepted Partner Schedule, no partner discount or partner billing entitlement exists.
1. Current program boundary
1.1 The current partner model supports referrals, client onboarding, process design, imports, and integration assistance. It is not a reseller, commission, affiliate, white-label, franchise, or consolidated-billing program.
1.2 Each client organization remains a direct Itemra customer. It accepts the Itemra Terms of Service, chooses its own Subscription, receives its own invoice, owns its Customer Data, and controls its users and permissions independently.
1.3 A Partner may access a client Account only when that client separately invites and authorizes the Partner's named users. Partner status creates no automatic cross-client access, shared dashboard, data export, or administrative permission.
1.4 Itemra will consider a separate reseller program only after sustained inbound demand and a new owner-approved commercial, tax, privacy, support, and legal review. These terms do not promise that such a program will be created.
2. Partner Schedule
2.1 A Partner Schedule must identify the Partner and state the approved:
- minimum number of Qualifying Client Organizations;
- discount rate or fixed credit;
- start date and duration;
- eligible client organizations or the method used to identify them;
- invoice currency and billing interval, where relevant;
- review frequency and notice period; and
- any exception to the exclusions or non-stacking rules below.
2.2 The minimum client count, discount rate, duration, and notice period are commercial decisions pending owner approval. Nothing published on the partner page supplies a default value.
2.3 Itemra may reject an application or proposed client relationship after a reasonable commercial, security, conflict, sanctions, fraud, or capacity review. An application, introduction, or referral does not reserve a price.
3. Qualifying Client Organizations
3.1 A "Qualifying Client Organization" is a distinct client organization that:
- has its own active paid Solo, Team, or Business Subscription in good standing;
- has been linked to the approved Partner using the method in the Partner Schedule and with the client's authorization; and
- is not a duplicate, internal, demonstration, test, fraudulent, refunded, or Partner-controlled organization created mainly to obtain a discount.
3.2 Free Accounts, trial periods, suspended or archived Accounts, unpaid Subscriptions, cancelled future periods, and refunded charges do not qualify. A client organization counts once even if the Partner supports multiple users, sites, projects, or services for that client.
3.3 Itemra verifies the qualifying count before activation and at the review frequency in the Partner Schedule. The Partner must promptly disclose changes that make a listed client ineligible. Itemra may ask each client to confirm the relationship.
4. Discount application
4.1 An approved discount applies prospectively from the effective date in the Partner Schedule or, if that schedule is silent, from the next complete billing period after Itemra verifies eligibility. It is not retroactive and does not create a refund for an earlier invoice.
4.2 The discount applies only to the recurring base-plan Fee for an eligible Subscription. It excludes extra users, usage charges, add-ons, onboarding or consulting services, taxes, duties, payment fees, refunds, and charges imposed by third parties.
4.3 Unless the Partner Schedule expressly says otherwise, the discount cannot be combined with another recurring discount, founding-customer price, referral credit, promotional code, negotiated price, or reseller benefit. Itemra will apply the single eligible benefit identified in the Partner Schedule; it will not choose or stack benefits automatically.
4.4 Every client continues to pay Itemra directly. The Partner receives no commission, rebate, payout, control over client billing, or right to collect Itemra Fees under these terms.
5. Falling below the threshold
5.1 If the number of Qualifying Client Organizations falls below the approved minimum, no new client discount activates. Existing discounts continue only through the current paid period and any notice window stated in the Partner Schedule, then end prospectively.
5.2 A later increase does not reactivate a discount automatically. Itemra must re-verify eligibility and confirm the effective date in writing.
5.3 Removing a discount never deletes client data. A client remains on its existing Subscription at the otherwise applicable published or contracted price unless it separately changes or cancels that Subscription.
6. Partner conduct and claims
6.1 The Partner is an independent contractor and has no authority to bind Itemra, accept Itemra's Terms on behalf of a client, promise features or service levels, change prices, issue refunds, or make security, legal, accounting, tax, or compliance claims on Itemra's behalf.
6.2 The Partner must describe Itemra accurately, distinguish implemented features from planned work, protect client credentials and data, and comply with each client's instructions and applicable law.
6.3 The Partner may not use Itemra trademarks in a company name, domain, paid search keyword, white-label service, or misleading endorsement claim without separate written permission.
7. Changes and termination
7.1 Either party may stop prospective participation according to the Partner Schedule. Itemra may suspend or terminate participation immediately for fraud, misrepresentation, unlawful conduct, security risk, misuse of client access, or material breach.
7.2 Ending partner participation does not terminate a client's direct Itemra Subscription or revoke access the client granted to the Partner. Each client must manage those user permissions separately.
7.3 Any change to the approved commercial variables must be recorded in a new or amended Partner Schedule. A website edit, email introduction, or informal conversation does not change an active schedule.
8. Order of precedence and contact
8.1 The Itemra Terms of Service govern each client Subscription. For the Partner relationship, an approved Partner Schedule prevails over these Partner Billing Terms where it states a specific conflicting commercial term. Neither document overrides a client's data ownership, privacy rights, or direct Subscription obligations unless that client expressly agrees in writing.
